Terms of Service

By accessing, browsing, or using FLEXO AI in any way, you:

• Confirm that you have read, understood, and agree to be bound by these Terms; and
• Represent that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent.

If you are using the Service on behalf of a company or other legal entity, "you" refers to both you as an individual user and that entity.

You may use the Service only if:

• You are at least the age of majority in your jurisdiction (or have parental/guardian consent where permitted by law); and
• You are not barred from using the Service under any applicable laws.

By using the Service, you represent and warrant that you meet these requirements.

To use some features of FLEXO AI, you may need to create an account. You agree to:

1. Provide accurate, current, and complete information when creating or updating your account.
2. Maintain and promptly update your account information as needed.
3. Keep your login credentials confidential and not share them with any third party.
4. Notify us immediately at support@flexoaipro.com of any unauthorized use of your account or any other breach of security.

You are fully responsible for all activities that occur under your account, whether or not authorized by you. We are not liable for any loss or damage arising from your failure to protect your account.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use FLEXO AI for:

• Personal use, and
• Commercial use, to the extent permitted by your subscription plan.

You may not:

• Reverse engineer, decompile, or attempt to derive the source code of the Service;
• Copy, modify, or create derivative works of the Service;
• Rent, lease, sell, sublicense, or otherwise transfer your rights to the Service;
• Circumvent or attempt to circumvent any security or access control measures related to the Service.

This license will automatically terminate if you violate these Terms.

Your use of FLEXO AI may be subject to quantitative or qualitative limits ("Usage Limits") based on your subscription plan, such as:

• Number of requests or tokens within a rolling 24-hour period;
• Number of users or seats;
• Types of features or models available.

We reserve the right to:

• Enforce Usage Limits at our discretion;
• Temporarily throttle, restrict, or suspend access if you exceed those limits or if your usage negatively affects system stability or other users.

Repeated or extreme overuse may result in suspension or termination of your account.

You agree that you will not use FLEXO AI:

We reserve the right to investigate and take any appropriate action (including suspension or termination) if we suspect any prohibited use.

FLEXO AI may generate text, predictions, or other outputs based on your inputs. You understand and agree that:

• AI-generated outputs may be inaccurate, incomplete, or misleading;
• Outputs are not guaranteed to be correct, up to date, or appropriate for every use case; and
• The Service does not provide legal, medical, financial, or other professional advice.

You should not rely on the Service as a sole source of truth or professional guidance. You are responsible for independently verifying information and obtaining professional advice where necessary.

All rights, title, and interest in and to the Service, including:

• Software, algorithms, models, and code;
• Design, UI/UX, graphics, and branding;
• Documentation and other materials,

are owned by us or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Except for the limited license expressly granted in these Terms, you acquire no rights in or to the Service or its content.

The Service may integrate with or link to third-party websites, APIs, tools, or services ("Third-Party Services"). You acknowledge that:

• We do not control and are not responsible for Third-Party Services;
• Your use of Third-Party Services may be governed by separate terms and privacy policies;
• We are not liable for any damages or losses arising from your use of Third-Party Services.

Our collection and use of personal data in connection with the Service are described in our Privacy Policy, which is incorporated by reference into these Terms.

By using the Service, you consent to our collection and use of your information as described in the Privacy Policy.

The Service is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, we:

• Disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
• Do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components;
• Do not warrant the accuracy, completeness, or reliability of any content or output generated by the Service.

You use the Service at your own risk.

To the fullest extent permitted by law, in no event shall FLEXO AI, its affiliates, directors, employees, or suppliers be liable for:

• Any indirect, incidental, special, consequential, or punitive damages;
• Any loss of profits, revenue, data, or business opportunities,

arising out of or in connection with your use of or inability to use the Service, whether based on warranty, contract, tort, or any other legal theory.

Our total aggregate liability for any claim arising out of or relating to the Service or these Terms shall not exceed the greater of:

1. The amount you paid us for the Service in the three (3) months preceding the event giving rise to the claim, or
2. US $100 (or equivalent in local currency).

Some jurisdictions do not allow limitations of liability, so some of the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless FLEXO AI and our affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

• Your use of the Service;
• Your violation of these Terms; or
• Your violation of any rights of another person or entity.

We may, at our sole discretion and without prior notice, suspend or terminate your access to the Service if:

• You violate these Terms or any applicable law;
• Your use poses a security risk or could adversely impact the Service or other users;
• Your usage exceeds fair or reasonable limits and you fail to resolve the issue after notice.

Upon termination:

• Your right to use the Service will immediately cease;
• We may delete or restrict access to Your Content stored in the Service, subject to applicable law and our data retention practices.

You may stop using the Service at any time. Termination will not affect any rights or obligations that have accrued prior to termination, including payment obligations.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, including:

• Features;
• Subscription plans;
• Pricing.

We will not be liable to you or any third party for any modification, price change, suspension, or discontinuation of the Service.

We may update these Terms from time to time. When we do:

• We will update the "Last updated" date at the top of this page; and
• For material changes, we may provide additional notice, such as by email or an in-app notification.

Your continued use of the Service after the updated Terms are posted constitutes your acceptance of the changes. If you do not agree, you must stop using the Service.

These Terms and your use of the Service will be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms or the Service shall be resolved in the courts located in Orlando, Florida, USA, and you consent to the exclusive jurisdiction and venue of such courts.

• Entire Agreement: These Terms, together with our Privacy Policy and any other referenced policies, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
